  1. M&A Basics (1.5 hrs): This first part breaks down the full M&A process—providing a comprehensive, technical breakdown of M&A deal mechanics from a strategic buyer’s perspective. Using the GoJo–Waystar transaction as a case study, we cover everything from accretion/dilution and pro forma EPS to deal structuring, relative valuation using P/E multiples, and credit constraints—equipping you with the tools to analyze and model real-world transactions. 
  2. M&A Analysis Pen and Paper (2 hrs):  This section goes through a full pen-and-paper M&A model. We walk through the mechanics of calculating pro forma net income—factoring in interest, synergies, and D&A from purchase accounting—before layering on tax structuring considerations like deferred taxes and 338 elections. Finally, we project pro forma shares, quantify accretion/dilution, and determine the breakeven synergies needed to justify the deal.
  3. M&A Modeling in Excel (2 hrs): We now transition from theory to a full Excel-based M&A model—building out the pro forma income statement and balance sheet while incorporating advanced tools like XLOOKUP, data tables, and IFERROR. We then layer in dynamic scenario functionality using functions like CHOOSE and OFFSET to evaluate alternate deal outcomes, including AVP (Analysis at Various Prices) to assess what a buyer should pay, not just what they can afford.
  4. Excel Essentials (1 hr): Learn the essential shortcuts Investment Bankers swear by.
